Consultant Agreement
Consultant Agreement
Also included in Staff Handbook
This download contains two Consultant Agreements.
The first agreement is drafted in favour of a company or organisation hiring a consultant. The second version is drafted in favour of a consultant hiring out their services to a company or organisation.
The version drafted for the company contains a provision to stop the consultant from approaching customers to either work for them directly or provide services directly to them. This protection is for the term of the agreement and for a period after the agreement. It also prevents the consultant from providing details to a third party to do the same.
The version drafted for the consultant emphasises prompt payment of invoices and expenses, amongst other items. It also excludes any provision preventing the consultant from subsequently working for other potential clients.
Clauses in this agreement:
- Interpretation
- Performance of Services
- Location of Provision of Services
- Fees

- Conflict of Interest

Many businesses bring in external consultants to advise them, however, many do not state the terms and restrictions under which the consultant is engaged. Given that a business may be spending a significant sum on a consultant's services it is vital that both parties clearly state what is expected.
